Terms of Service
These Terms govern access to and use of Review Canopy's website, business accounts, public review pages, customer feedback and direct-review forms, review links, QR and NFC devices, coupons, widgets, notifications, and reporting features (the “Service”). By creating an account or using the Service, you agree to these Terms and acknowledge the Privacy Policy.
Eligibility and authority
You may create or manage a business account only if you can enter into a binding agreement and are authorized to act for the business or location you associate with the account. You must provide accurate account information and keep it current. Review Canopy is not intended for account creation by children.
Accounts and sign-in methods
You are responsible for safeguarding your password, email account, linked Google or Microsoft identity, active sessions, and other sign-in methods. Do not share an account in a way that defeats access controls. You are responsible for activity performed through your account unless applicable law provides otherwise. Review Canopy may require email verification, temporarily limit sign-in attempts, expire sessions, or require reauthentication to protect the Service.
If you connect an external sign-in provider, you authorize Review Canopy to use that provider's validated identity to authenticate your local Review Canopy account. Provider availability and the provider account remain subject to the provider's terms.
The Service
Review Canopy allows businesses to configure public pages and links that help customers provide feedback, submit direct reviews, or navigate to third-party review platforms. Depending on configuration, the Service can collect customer contact details, notify a business of feedback or contact requests, display approved direct reviews, attribute activity to links, widgets, QR codes or NFC devices, and support coupons or marketing signups.
The Service does not guarantee that a customer will submit a review, that a third-party platform will accept or publish one, that a review will remain available, or that a business will achieve any particular rating, revenue, search ranking, or customer outcome.
Business responsibilities
Business account users are responsible for:
- Business names, descriptions, addresses, contact details, logos, links, colors, coupon terms, review-page content, notification recipients, and marketing endpoints they configure.
- Having authority to use submitted trademarks, images, text, URLs, customer lists, and other materials.
- Giving customers clear and accurate notices and obtaining any consent required for contact, marketing, coupons, testimonials, reviews, or other processing.
- Using customer feedback and contact information only for legitimate, disclosed purposes and honoring applicable unsubscribe or communication choices.
- Complying with laws, industry rules, and the terms of each third-party review, advertising, messaging, coupon, or marketing platform they use.
- Keeping access roles and notification recipient addresses limited to people authorized to receive the business's information.
Customer submissions and business access
Consumer information submitted through a business-associated Review Canopy page is processed through Review Canopy for the applicable business. The business and its authorized users may receive and use feedback, comments, contact details, contact requests, direct reviews, photos, coupon activity, and related attribution as described in the Privacy Policy. When a consumer requests follow-up, the business may contact that consumer.
Reviews, feedback, and public content
A person submitting content must provide an honest account of their own experience and must have the right to submit any text or image included. Direct reviews are initially held for business moderation. If approved, the submitted rating, review text, reviewer name, and approved images may appear on public Review Canopy pages or widgets. Reviewer email addresses are used operationally and are not displayed with public reviews by the current application.
As between you and Review Canopy, you retain rights you hold in submitted content. You grant Review Canopy a non-exclusive, worldwide, royalty-free license to host, copy, process, format, transmit, and display that content as necessary to operate, secure, moderate, and provide the Service. A business that submits or approves content confirms it has the authority to do so.
Review Canopy and participating businesses may hide, mark as spam, or delete direct reviews. Review Canopy does not promise to independently verify every review or moderation decision.
Review integrity and prohibited manipulation
You may not use the Service to create, purchase, solicit, or coordinate false reviews; impersonate a customer; submit reviews for experiences that did not occur; conceal material incentives; selectively pressure only favorable customers while misrepresenting the process; threaten customers over feedback; or interfere with honest review activity.
Coupons or rewards must not be conditioned on a favorable rating, positive sentiment, removal of criticism, or any action prohibited by the destination review platform. The presence of a coupon feature does not mean a particular promotion complies with a review platform's incentive rules. Businesses are responsible for reviewing their coupon and multi-platform review practices against each platform's current terms.
Acceptable use
You may not use the Service to:
- Break the law, violate another person's rights, or collect or disclose personal information without appropriate authority.
- Send spam or unlawful messages, operate deceptive forms or links, or distribute malware, phishing content, or harmful code.
- Probe, bypass, disable, overload, or interfere with authentication, authorization, rate limits, form protection, analytics consent controls, or other security features.
- Access another business's account or data, scrape the Service at unreasonable volume, reverse engineer protected components, or use automated means that disrupt normal operation.
- Upload unlawful, infringing, defamatory, harassing, hateful, sexually exploitative, or otherwise harmful content.
- Misrepresent affiliation with Review Canopy, a business, or a third-party review platform.
QR codes, NFC devices, and physical materials
Review Canopy QR codes, NFC links, stands, stickers, cards, and related materials route visitors to configured online content. Businesses are responsible for authorized placement, accurate assignment to a location, physical safety, and preventing misleading or unauthorized reuse. Network conditions, device settings, damaged materials, reassignment, or third-party hardware can affect operation. Review Canopy may deactivate or reassign identifiers when needed to protect the Service or correct configuration.
Third-party services
Review Canopy can link to Google, Yelp, Facebook, and other review or business websites, and may support Google or Microsoft sign-in. Third parties are independent from Review Canopy and control their own accounts, cookies, availability, moderation, content, and policies. A link or integration does not imply endorsement, partnership, or control. You are responsible for complying with those services' terms.
Intellectual property
The Service, Review Canopy branding, application code, page designs, and platform-created materials are protected by applicable intellectual-property laws. Except for the limited right to use the Service under these Terms, no Review Canopy rights are transferred to you. Businesses retain rights they hold in their own names, logos, business information, and submitted materials.
Service changes and availability
Review Canopy may add, change, suspend, or discontinue features; perform maintenance; correct data or configuration problems; and impose reasonable technical limits. The Service may experience interruptions or errors. No uptime, support-response, data-retention, or feature-availability commitment applies unless separately confirmed in a written agreement.
Suspension and termination
Review Canopy may restrict content, disable a public page or device, suspend access, or terminate an account when reasonably necessary to address a Terms violation, security threat, legal requirement, rights complaint, platform abuse, or risk to Review Canopy, a business, consumers, or third parties. Account termination does not automatically remove content already transmitted to a business or third party.
Disclaimers
To the extent permitted by law, the Service is provided “as is” and “as available.” Review Canopy disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Review Canopy does not control third-party review platforms, customer statements, business moderation decisions, or business use of customer information.
Limitation of liability
To the extent permitted by law, Review Canopy will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, reviews, data, or business opportunities arising from the Service. Applicable law may not allow every exclusion, so these limitations apply only to the extent permitted.
Changes to these Terms
Review Canopy may update these Terms as the Service or legal requirements change. The revised Terms will be posted with an updated date. The notice and acceptance process for material changes requires legal confirmation.
